These Terms of Service ("Terms") govern your access to and use of the Tally platform, including the web application, SMS notifications, and any related services (collectively, the "Service"). By accessing or using Tally, you agree to be bound by these Terms.
By creating an account, entering a kitchen code, or using any feature of the Tally Service, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Tally is a restaurant inventory management platform that allows food service teams to track ingredient quantities, set par levels, manage order lists, and receive notifications via SMS, email, and browser push. The Service is intended for professional use in restaurant, catering, and food service environments.
Program name: Tally SMS Alerts
Message frequency: Message frequency varies based on your notification settings and inventory activity. Typical usage is 1–3 messages per day.
Message & data rates: Message and data rates may apply. Standard carrier rates for SMS and data apply. Contact your mobile carrier for details.
To opt out: Reply STOP to any Tally SMS at any time. After opting out, you will receive one final confirmation message and no further messages will be sent to that number.

By opting in to SMS alerts through the Tally Settings panel, you expressly consent to receive recurring automated text messages from Tally at the mobile number provided. Consent is not a condition of using the platform or any purchase.
You represent that you are the account holder or have the account holder's permission for the mobile number you provide. Tally is not responsible for charges incurred from your carrier.
Certain features of Tally require phone number verification. You are responsible for maintaining the confidentiality of your account, your kitchen access codes, and your manager PIN. You agree to notify us immediately of any unauthorized access to your account at maxwellwesslock@gmail.com.
You are responsible for all activity that occurs under your kitchen's account, including activity by staff members and guests you grant access to.

You retain ownership of all inventory data and content you enter into Tally. By using the Service, you grant Tally a limited license to store, process, and display your data solely for the purpose of operating the Service.
You are responsible for the accuracy of data you enter. Tally does not verify inventory data and is not liable for business decisions made based on information in the platform.
Tally is provided on an "as is" and "as available" basis. We make no guarantees of uptime or uninterrupted service. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALLY IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TALLY DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TALLY AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify and hold harmless Tally and its operators from any claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
We reserve the right to modify these Terms at any time. We will update the effective date above when changes are made. Continued use of the Service after updated Terms are posted constitutes your acceptance of the new Terms.
These Terms are governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to its conflict of law provisions.
